I'll tell you what I have in the root of the FAT partition, maybe it helps:

initrd-2.4.31.gz
vmlinuz-2.4.31-j720-4
linexec-j720.exe
params.txt

The content of params.txt:
\Storage Card\vmlinuz-2.4.31-j720-4
\Storage Card\initrd-2.4.31.gz

Make sure the params.txt has CR LF line terminators as it's read on Windows
CE.
