I have the same mass-file-transfer problem (usually when I run nfsd on
the ipaq and copy mp3s to it), but I can help with the suspend problem.

Put S90usbnet in /etc/suspend-scripts and R90usbnet in
/etc/resume-scripts. 'chmod +x' both these files.

(Executable files in those directories are run when
suspending/resuming).

They just run '/etc/init.d/usbnet stop' and '/etc/init.d/usbnet stop'
when suspending/resuming.

(So you need /etc/init.d/usbnet; mine is pretty much what the usbnet
wiki page says).
